Terms of Service for AI Services

These terms supplement our Terms of Service and AI Use Terms. A signed project agreement may add or replace requirements for a specific engagement.

1. Scope and acceptance

These Terms apply to AI services provided by FIX Intelligence, a part of FIX Solutions JSC ("FIX"), including AI strategy and consulting, AI and machine-learning development, agent platforms, model integration, data engineering, analytics, workflow automation, deployment, and ongoing support. They supplement FIX’s general Terms of Service and apply when a proposal, order, or statement of work incorporates them or when a customer accepts them in writing.

2. Project documents and precedence

The specific services, deliverables, milestones, fees, acceptance process, and responsibilities for a project will be described in its signed agreement, order form, or statement of work. If documents conflict, the signed project agreement controls for that project; a data-processing agreement controls for its subject matter. These Terms govern AI-service matters only to the extent they are not replaced by those documents.

3. Delivery and timelines

FIX will perform the agreed services using the delivery approach and dependencies set out in the project documents. Any timeline shared before scope confirmation is an estimate for planning. Delivery can depend on customer access, data readiness, integrations, technical risk, approvals, and team composition. Changes to scope, dependencies, or assumptions may require revised milestones, fees, or resources, which the parties will agree in writing.

4. Customer responsibilities

The customer will provide timely access to systems, people, and information needed for the project; ensure it has the rights and permissions required for supplied data and materials; identify applicable legal, regulatory, security, residency, and sector requirements; and review deliverables and provide decisions or feedback on schedule. The customer is responsible for deciding whether a solution is appropriate for its users and operations.

5. Data, privacy, and confidentiality

Each party will handle confidential information under its applicable agreement. Personal data and customer information will be handled according to the applicable privacy terms and any data-processing agreement. FIX will not knowingly submit customer confidential information to a public AI service unless the customer has authorized that use. Data access, retention, deletion, and processing locations should be documented in the project agreement when they are material to the service.

6. AI systems and third-party services

An AI solution may depend on third-party models, APIs, cloud platforms, open-source software, or data services. Their availability, behavior, pricing, licensing, security features, and provider terms may change. The project documents will identify material third-party dependencies and any customer responsibilities where applicable. Third-party components remain subject to their own licenses and terms.

7. AI outputs and human review

AI outputs may be incomplete, inaccurate, biased, outdated, or similar to outputs generated for others. Unless a project agreement expressly states otherwise, FIX does not warrant that every output will be unique, error-free, or suitable for a particular purpose. The customer must validate outputs in line with their intended use and risk before relying on, publishing, or using them in production. AI must not be the sole decision-maker for high-impact matters such as employment, credit, healthcare, legal rights, or safety without appropriate controls and meaningful human oversight. AI services do not provide legal, medical, or financial advice.

8. Acceptable use and security

AI services must be used for lawful purposes and within the agreed project scope. Customers must not use them to infringe rights, process data without authority, bypass security controls, facilitate deceptive or malicious activity, or create foreseeable harm. Security controls, testing, monitoring, and incident responsibilities will be defined by the agreed service scope and applicable security or data-processing terms.

9. Deliverables and intellectual property

Ownership and permitted use of customer materials, custom deliverables, pre-existing materials, third-party components, model outputs, and generated content are governed by the signed project agreement and applicable licenses. No rights in third-party models or services are transferred beyond the rights their providers grant.

10. Fees, changes, and ending a project

Fees, expenses, payment terms, acceptance, suspension, and termination are set out in the applicable project agreement or FIX’s general Terms of Service. The parties will document material changes to scope or delivery in writing. If a project agreement does not address an issue, the general Terms of Service apply.
